These Terms of Service (the "Terms") govern your access to and use of the PEVCOS application and any related services (the "Service") provided by PEVCOS, Inc., a Delawarecorporation ("PEVCOS", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you're using the Service on behalf of an organization, you represent that you're authorized to bind that organization, and "you" refers to both you and the organization.

PEVCOS is a software platform for private equity and venture capital fund managers. It provides deal-flow tracking, CRM, investment conviction scoring, IC memo drafting, portfolio monitoring, LP relationship management, fund-level capital event tracking, and AI-assisted features. We may modify or improve the Service at any time, but we'll give reasonable notice of changes that materially reduce functionality on a paid plan.
You must be at least 18 years old and provide accurate registration information. You're responsible for your account credentials and all activity that happens under your account. Notify us immediately at legal@pevcos.com if you suspect unauthorized access. We're not liable for losses caused by you sharing credentials.
The Service is offered on subscription plans listed on our Pricing page. Plan prices are charged annually unless otherwise stated. Stripe processes all payments.
Paid plans include a 14-day free trial. You won't be charged during the trial. If you don't cancel before the trial ends, your card on file will be charged the plan's annual fee.
Subscriptions auto-renew annually until canceled. You can cancel any time from your account settings; cancellation takes effect at the end of the current paid period. We don't prorate or refund partial periods except where required by law.
Stated prices exclude applicable taxes. You're responsible for any sales, VAT, GST, or similar taxes applicable to your subscription.
Promotional codes are non-transferable, may be revoked or modified, and have no cash value. Use of a code may be subject to additional terms shown at the time of redemption.
You retain all rights to any data, content, or materials you submit to or generate within the Service ("Your Content"), including contacts, companies, notes, documents, IC memos, LP records, and Gmail messages you choose to sync. We claim no ownership of Your Content.
You grant PEVCOS a non-exclusive, worldwide, royalty-free license to host, store, copy, process, and display Your Content solely for the purpose of providing and improving the Service for you. We do not use Your Content to train AI models, and we do not share it with third parties except the subprocessors listed in our Privacy Policy.
You can export Your Content at any time from the application. When you cancel your account, we will delete Your Content within 30 days, except where retention is required by law (e.g. billing records).

The Service integrates with third-party services including Gmail, DocuSign, Stripe, Anthropic, Supabase, Vercel, and Resend. Your use of those integrations is also subject to the relevant third party's terms. PEVCOS is not responsible for the availability or behavior of third-party services.
The Service includes AI-generated outputs (e.g. AI Score, AI Enrich, IC Memo, LP Letter, agent outputs). AI outputs are not financial, investment, legal, accounting, or tax advice and may contain errors, hallucinations, or omissions. You are responsible for independently verifying any AI output before relying on it for an investment decision, LP communication, or any other material purpose. AI outputs are not a substitute for professional judgment.
The Service, including all software, designs, text, and trademarks, is owned by PEVCOS and protected by U.S. and international law. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. We grant no other rights.
You may provide feedback or suggestions about the Service. You grant us a perpetual, royalty-free license to use that feedback without restriction.
Each party may receive non-public information from the other ("Confidential Information"). The receiving party will use Confidential Information only to perform under these Terms and will protect it with at least the same care it uses for its own information of similar sensitivity (and in no event less than reasonable care).
You may stop using the Service or cancel at any time. We may suspend or terminate your account if you materially breach these Terms (including non-payment), if required by law, or if your use poses a security or legal risk. We'll give reasonable notice unless doing so would cause harm. Upon termination, sections that by their nature should survive (Sections 4, 7-13) will survive.
The Service is provided "as is" and "as available". To the maximum extent permitted by law, PEVCOS disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, PEVCOS will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or business opportunities, arising out of or related to the Service, even if advised of the possibility of such damages. PEVCOS's total cumulative liability for any claim arising from or related to the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).
You will indemnify and hold harmless PEVCOS from any third-party claim, demand, loss, or damage (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) Your Content, or (c) your violation of any applicable law or third-party right.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute that can't be resolved informally will be resolved by binding arbitration in Delaware under the rules of the American Arbitration Association, except that either party may bring an action for injunctive relief in a court of competent jurisdiction. You and PEVCOS waive any right to a jury trial and to participate in a class action.
We may update these Terms from time to time. If we make material changes we'll notify you by email or in-app at least 14 days before they take effect. Continued use after that date constitutes acceptance.
These Terms are the entire agreement between you and PEVCOS regarding the Service. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms without our consent; we may assign them in connection with a sale, merger, or financing.
